A sample legal agreement between a performing arts organisation and a Venue for a theatre production.

Performing Arts Organization: [Organization Name]
Venue: [Venue Name]

This contract (“Agreement”) is made and entered into on the date of acceptance by the Venue, and is by and between [Organization Name] (“Producer”) and [Venue Name] (“Venue”).

1. Engagement:
Producer hereby engages the Venue to host the theatre production of [Production Name] (“Production”). The Venue shall be responsible for providing the necessary facilities and services for the Production, including but not limited to the performance space, lighting and sound equipment, and front of house staff.
2. Deliverables:
The Venue shall be responsible for the following deliverables:
- Provide the necessary facilities and services for the Production, including the performance space, lighting and sound equipment, and front of house staff
- Adhere to all safety and regulatory requirements for the Production
- Maintain the confidentiality of all information and materials related to the Production
- Adhere to professional standards of conduct and behavior at all times

Producer shall be responsible for the following deliverables:

- Provide the Venue with a schedule of load-in, load-out, and performance dates in advance
- Pay the Venue the agreed upon rental fee and any additional charges in a timely manner
- Obtain all necessary licenses and permissions for the Production
1. Timeline:
The term of this Agreement shall commence on [Start Date] and shall continue until [End Date] or completion of the run of the Production, whichever occurs first. Load-in shall take place on [Load-in Date] and load-out shall take place on [Load-out Date]. The Production shall have [Number] performances at the Venue, with the first performance on [First Performance Date] and the last performance on [Last Performance Date].
2. Compensation:
In consideration for the facilities and services to be provided by the Venue hereunder, Producer shall pay the Venue the sum of [Rental Fee] for the term of the Agreement. Producer shall also be responsible for paying any additional charges incurred during the term of the Agreement, including but not limited to ticketing fees, box office charges, and staffing costs.
3. Termination:
This Agreement may be terminated by either party at any time, for any reason, upon written notice to the other party. In the event of termination by Producer, the Venue shall be entitled to receive the agreed upon rental fee for the term of the Agreement.
4. Confidentiality:
The Venue shall maintain the confidentiality of all information and materials related to the Production, including but not limited to scripts and production plans. The Venue shall not disclose any such information to any third party without the prior written consent of Producer.
5. Indemnification:
The Venue shall indemnify and hold harmless Producer, its affiliates, and their respective officers, directors, employees, and agents, from any and all claims, damages, or expenses arising out of or in connection with the Venue’s performance of services under this Agreement.
6. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
