A sample legal agreement between a performing arts organisation and a Producer for a theatre production.

Performing Arts Organization: [Organization Name]
General Manager: [General Manager Name]
Producer: [Producer Name]

This contract (“Agreement”) is made and entered into on the date of acceptance by the producer, and is by and between [Organization Name] (“Organization”), and [Producer Name] (“Producer”).

1. Engagement:
Organization hereby engages producer to produce the theatre production of [Production Name] (“Production”). Producer shall be responsible for all producing aspects of the Production, including but not limited to budgeting, scheduling, and management of personnel.
2. Deliverables:
Producer shall be responsible for the following deliverables:
- Submit a complete and final budget for the Production to the General Manager by [Budget Submission Date]
- Attend all production meetings as scheduled by the General Manager
- Maintain the confidentiality of all information and materials related to the Production
- Adhere to professional standards of conduct and behavior at all times

Organization shall be responsible for the following deliverables:

- Provide producer with the necessary guidelines and production plans
- Provide producer with a schedule of production meetings in advance
- Pay producer the agreed upon compensation in a timely manner
1. Timeline:
The term of this Agreement shall commence on [Start Date] and shall continue until [End Date] or completion of the run of the Production, whichever occurs first. Production meetings shall take place from [Production Start Date] to [Production End Date]. Performances shall take place from [Performance Start Date] to [Performance End Date].
2. Compensation:
In consideration for the services to be rendered by producer hereunder, Organization shall pay producer the sum of [Compensation Amount] upon approval of the final budget. Producer shall also be entitled to a share of the net profits of the Production, as determined by the General Manager in their sole discretion.
3. Termination:
This Agreement may be terminated by either party at any time, for any reason, upon written notice to the other party. In the event of termination by Organization, producer shall be entitled to receive compensation for all services rendered up to the date of termination.
4. Confidentiality:
Producer shall maintain the confidentiality of all information and materials related to the Production, including but not limited to budgets, production plans, and personnel information. producer shall not disclose any such information to any third party without the prior written consent of the General Manager.
5. Indemnification:
Producer shall indemnify and hold harmless Organization, its affiliates, and their respective officers, directors, employees, and agents, from any and all claims, damages, or expenses arising out of or in connection with producer’s performance of services under this Agreement.
6. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
