This contract (“Agreement”) is made and entered into on the date of acceptance by the Digital Designer, and is by and between [Organization Name] (“Producer”), and [Digital Designer Name] (“Digital Designer”).
1. Engagement:
Producer hereby engages Digital Designer to provide digital design services for the theatre production of [Production Name] (“Production”). Digital Designer shall be responsible for designing and implementing the digital elements of the Production, including but not limited to website design, social media graphics, and video content.
2. Deliverables:
Digital Designer shall be responsible for the following deliverables:
- Attend all production meetings as scheduled by Producer
- Design and implement the digital elements of the Production, including website design, social media graphics, and video content
- Maintain the confidentiality of all information and materials related to the Production
- Adhere to professional standards of conduct and behavior at all times
Producer shall be responsible for the following deliverables:
- Provide Digital Designer with the necessary production plans and any other relevant materials
- Provide Digital Designer with a schedule of production meetings in advance
- Pay Digital Designer the agreed upon compensation in a timely manner
1. Timeline:
The term of this Agreement shall commence on [Start Date] and shall continue until [End Date] or completion of the run of the Production, whichever occurs first. Digital Designer shall complete all deliverables by [Completion Date].
2. Compensation:
In consideration for the services to be rendered by Digital Designer hereunder, Producer shall pay Digital Designer the sum of [Compensation Amount]. Payment shall be made upon completion of all deliverables. Digital Designer shall also be entitled to a share of the net profits of the Production, as determined by Producer in its sole discretion.
3. Termination:
This Agreement may be terminated by either party at any time, for any reason, upon written notice to the other party. In the event of termination by Producer, Digital Designer shall be entitled to receive compensation for all services rendered up to the date of termination.
4. Confidentiality:
Digital Designer shall maintain the confidentiality of all information and materials related to the Production, including but not limited to production plans and personnel information. Digital Designer shall not disclose any such information to any third party without the prior written consent of Producer.
5. Indemnification:
Digital Designer shall indemnify and hold harmless Producer, its affiliates, and their respective officers, directors, employees, and agents, from any and all claims, damages, or expenses arising out of or in connection with Digital Designer’s performance of services under this Agreement.
6. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
